1. Parties

This Confidentiality Agreement (“Agreement”) is entered into between:

Disclosing Party: Lanfinitas AI (“Company”), the developer and operator of Lanfinitas SpecFlow.

Receiving Party: The individual or organization named below (“Beta User”), participating in the Lanfinitas SpecFlow Beta Program.

2. Purpose

The parties wish to explore a business relationship in connection with the Lanfinitas SpecFlow Beta Program (“Purpose”). In connection with this Purpose, the Company may disclose to the Beta User certain Confidential Information as defined herein. This Agreement governs the handling of all such information.

3. Definition of Confidential Information

“Confidential Information” means any non-public information disclosed by the Company to the Beta User in connection with the Beta Program, including but not limited to:

• Source code, algorithms, and technical architecture of Lanfinitas SpecFlow
• AI model design, training methodology, and training data
• The Lanfinitas industrial lexicon and StyleGraph terminology database
• Product roadmap, unreleased features, and development plans
• Business strategies, pricing models, and commercial plans
• User interface designs and prototypes in pre-release state
• Any information marked “Confidential,” “Proprietary,” or disclosed verbally and confirmed in writing within 30 days

Confidential Information does not include information that:

• Is or becomes publicly available through no breach of this Agreement by the Receiving Party
• Was rightfully known to the Receiving Party before disclosure
• Is independently developed by the Receiving Party without use of Confidential Information
• Is required to be disclosed by applicable law or court order, provided the Receiving Party gives prompt written notice to the Company

4. Obligations of the Beta User

The Beta User agrees to:

• Hold all Confidential Information in strict confidence using at least the same degree of care used to protect their own confidential information, but no less than reasonable care
• Not disclose, publish, reproduce, or transmit Confidential Information to any third party without prior written consent from the Company
• Use Confidential Information solely for the Purpose of participating in the Lanfinitas SpecFlow Beta Program
• Limit access to Confidential Information to those employees or contractors with a strict need to know, and who are bound by obligations no less restrictive than this Agreement
• Not reverse engineer, decompile, or create derivative works from any Confidential Information

5. Beta Feedback

Any feedback, suggestions, ideas, or recommendations you provide regarding Lanfinitas SpecFlow (“Feedback”) may be used by Lanfinitas AI without restriction or compensation. You hereby assign to the Company all intellectual property rights in any Feedback provided. The Company is under no obligation to use or implement any Feedback.

6. Restrictions on Beta Access

Beta access is granted solely to the individual or organisation named in this Agreement. You may not:

• Share your beta credentials with any third party
• Publicly post screenshots, videos, or descriptions of unreleased features without prior written approval
• Benchmark or compare Lanfinitas SpecFlow against competing products for publication without prior written approval
• Use the beta product for commercial production purposes during the beta period

7. Data Handling During Beta

During the Beta Program, usage data and interaction logs may be collected for product improvement purposes. Input data submitted during beta testing may be reviewed by the Company’s engineering team solely to identify and resolve technical issues. We will handle such data in accordance with our Privacy Policy.

8. Intellectual Property

Nothing in this Agreement grants the Beta User any license or rights in or to any intellectual property of the Company. All intellectual property rights in Lanfinitas SpecFlow, its underlying technology, and all Confidential Information remain exclusively with Lanfinitas AI.

9. Term and Termination

This Agreement is effective from the date of execution and continues for a period of two (2) years, or until the Company publicly releases Lanfinitas SpecFlow, whichever comes first. Obligations of confidentiality survive termination for an additional three (3) years with respect to trade secrets, and for the term of the Agreement with respect to other Confidential Information.

Upon termination or request by the Company, the Beta User shall promptly return or destroy all materials containing Confidential Information and certify such destruction in writing.

10. Remedies

The Beta User acknowledges that breach of this Agreement may cause irreparable harm to the Company for which monetary damages would be inadequate. The Company shall be entitled to seek injunctive relief without posting bond, in addition to all other remedies available at law or in equity.

11. No Warranty

Lanfinitas SpecFlow beta software is provided “as is” for evaluation purposes only. The Company makes no representations or warranties regarding the beta product. Beta features may be modified or removed at any time without notice.

12. Governing Law

This Agreement shall be governed by the laws of [jurisdiction]. Any dispute shall be resolved in the courts of [jurisdiction], and the parties consent to exclusive jurisdiction therein.

13. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to confidentiality obligations relating to the Lanfinitas SpecFlow Beta Program and supersedes all prior discussions on this subject.

Electronic acceptance via the Lanfinitas SpecFlow platform constitutes a valid and binding signature under applicable electronic signature laws including the U.S. E-SIGN Act, EU eIDAS Regulation, and China’s Electronic Signature Law (电子签名法).
